Orme Creative : Terms & Conditions

The following terms and conditions form the contract for the trading and sale of services and goods between Orme Creative Ltd and each client or buyer. No other terms and conditions shall be incorporated in such contract unless specifically agreed in writing by Orme Creative Ltd.

Fees & Prices
Unless otherwise stated all proposals, prices and budgets for goods and services are quoted exclusive of VAT, packing and delivery. All quotations remain valid for 30 days from the date of quotation.

Payment
Our terms are strictly 30 days from the date of invoice. VAT at the standard rate will be added where appropriate.

We reserve the right to charge interest at a rate of 4% above bank base rate, per month, on all outstanding amounts over 30 days. All disputes must be reported to Orme Creative Ltd in writing within 7 days of the date of the invoice. Communication other than those in a written form will not be accepted. Upon termination of work in hand all outstanding amounts, plus fees or costs attributable to work already completed will be deemed due for payment. All goods and materials, including artwork, photography and press material remain the property of Orme Creative Ltd until payment is made in full.

Termination of Contract
Orme Creative Ltd reserves the right to terminate the contract, by giving notice in writing, if:
1. The buyer commits a breach of these terms and conditions
2. The buyer enters into liquidation
3. The buyer acts in a manner which is prejudicial to the interest of Orme Creative Ltd.

Liability
All reasonable care will be taken by Orme Creative Ltd to ensure that the services and goods supplied or offered are correct and of the highest quality. Orme Creative Ltd will not be liable for any loss, damage or claim, including consequential loss, arising from the enactment or use of the services or goods supplied.

In the event that the services or goods supplied should be incorrect then the liablity of Orme Creative Ltd will be restricted to the correction or replacement of the items in question, or by the provision of a refund; please note that any refund will be limited to the value of the item(s) in question and that the decision to make any refund will be the sole right of Orme Creative Ltd.

Confidentiality
Unless otherwise agreed, neither party will, at any time during or after the contract engagement, divulge or allow to be divulged confidential information relating to the business affairs of the other party.

Inducement
Neither party shall at any time before, during or after the period of the contract engagement entice or induce, or attempt to entice or induce, any employee who at any time during the course of the engagement was employed by the other party.

Governing Law
These terms and conditions are governed by and construed in accordance with English Law. The English courts shall have exclusive jurisdiction in the event of any dispute.

Miscellaneous
Failure by Orme Creative Ltd to insist upon strict compliance with these terms and conditions shall not be deemed a waiver of such provision. The invalidity or unenforceability of any of the terms and conditions shall not affect the validity or enforceability of any other term or condition.
